Allbirds Brand Audit: The 2026 Sale, the New Owners, and No Named Indian Seller

The Nasdaq-listed company behind Allbirds sold the brand for $40.7 million on 9 June 2026 and renamed itself Smartbird. The brand's US store delivers only within the United States, and no document names an Indian seller.
Allbirds brand audit by FashionAudit: Allbirds logo and the headline “The 2026 Sale, the New Owners, and No Named Indian Seller” over a pair of grey knit sneakers resting on white fleece

Allbirds is the wool and tree-fibre sneaker brand that listed on Nasdaq in 2021 and built its name on carbon labels and sugarcane foam. In 2026 the listed company sold it. On 9 June 2026 the footwear business and the Allbirds trade marks passed to a private buyer for $40.7 million in cash, and six days later the company that had sold them renamed itself Smartbird, Inc.

So the ticker BIRD now belongs to a company that makes no shoes, and the brand sits with private owners. The documents published since the sale name three different companies in connection with it. For an Indian buyer there is a second gap: no filing, release or store list read for this audit names an Indian seller. This page sets out what each document says, and where the record stops.

The short answer

Allbirds was sold on 9 June 2026 by the Nasdaq-listed Allbirds, Inc., now Smartbird, Inc., to Allbirds IP LLC, which its filing describes as affiliated with American Exchange Group. The buyer’s own release calls WSG Brands a co-owner, and the US website names a third company as its operator. The brand’s US store delivers only within the United States, it names no Indian seller, and Myntra had no Allbirds brand listing on 21 September 2026.

Who owns Allbirds

The sale is fully on the record. At the end of March 2026 Allbirds, Inc. announced a definitive asset purchase agreement with American Exchange Group at “$39 million”, “subject to purchase price adjustments”. Its board approved unanimously. Stockholders approved the sale at a special meeting on 3 June 2026, with 26,898,792 votes for and 28,059 against.

The deal closed on 9 June 2026. The company’s 8-K names the purchaser as “Allbirds IP LLC, a Delaware limited liability company affiliated with American Exchange Group”, and the price actually received as “$40.7 million in cash”, with $3.0 million held in escrow. The assets sold included the footwear business and its “global trademarks, trade names, copyrights, patents, domain names”, inventory, and “assigned contracts, including license and franchise agreements”.

Allbirds, 2016 to 2026
  • 2016First designated a B Corp, per the company’s 10-K
  • 2021Listed on Nasdaq as Allbirds, Inc.
  • Mar 2026Agreement to sell the brand to American Exchange Group
  • 9 Jun 2026Sale closes to Allbirds IP LLC for $40.7 million
  • 15 Jun 2026The listed company renames itself Smartbird, Inc.

The brand and the listed company went separate ways in June 2026.

Allbirds, Inc. FY2025 10-K; S-1 of 2021; 8-Ks filed 31 March, 3 June, 15 June and 17 June 2026.

After the closing, the documents name three companies, and none of them explains the other two. The SEC filing names one purchaser, Allbirds IP LLC. American Exchange Group’s own release of 17 June 2026 says it acquired the brand “in partnership with WSG Brands”, and that “as co-owners of the brand, WSG will serve as a key operating and growth partner, while AEG will design and manufacture the footwear”. The allbirds.com terms, updated 6 August 2026, name the site’s operator as “AB Dnam, LLC, doing business as Allbirds”, a Florida company based at 8484 Wilshire Blvd., Beverly Hills.

DNAM Brands, at the same Beverly Hills address, lists Allbirds among more than thirty brands that it “owns, licenses and operates”. It does not say which of those three words applies here. How the brand is split between American Exchange Group and WSG Brands is not published either. All three statements may be true at once; no document read puts them together, so this page does not.

What is clear is who does not own it. The listed company’s certificate of amendment changed its name to Smartbird, Inc. on 15 June 2026, and also removed the words describing it as a public benefit corporation. A new chief executive, Nadia Carlsten, took over on 18 June. Smartbird’s letter to shareholders of 19 August 2026 calls it an “AI infrastructure provider” and “the company formerly known as Allbirds”.

The money, before and after the sale

The last full year Allbirds, Inc. reported as a shoe company was 2025. Its 10-K, filed on 31 March 2026, gives net revenue of $152.5 million, down from $189.8 million in 2024, and a net loss of $77.3 million against $93.3 million the year before. The same filing says: “There is substantial doubt about our ability to continue as a going concern.”

The first quarter of 2026 was the last reported with footwear as the running business. Revenue was $22.3 million against $32.1 million a year earlier, with a net loss of $20.7 million. By the next quarter the filer was Smartbird, and footwear appears in its 10-Q of 19 August 2026 as discontinued operations, with a $21.6 million gain on disposal. The new business brought in $2.8 million of revenue in the quarter to 30 June 2026, and the company lost $16.4 million overall.

Those are all figures from the former owner’s filings. The new owners are private and publish no accounts, so there is no revenue figure for the Allbirds brand after 9 June 2026.

The ticker BIRD still trades on Nasdaq. The company behind it sold the shoes in June 2026 and now calls itself an AI infrastructure provider.

How Allbirds reached other countries

Before the sale, Allbirds sold abroad mostly through other companies. The 2025 10-K says it had “transitioned our international go-to-market strategy from a direct model to a distributor model in all markets, except the United Kingdom”, with distributor partners “covering more than 90 countries, including Canada, China and Japan”. It names Canada, South Korea, Japan, Australasia, China and Europe. It does not name India.

Company releases named some of those partners. In March 2024 they were Alyasra Fashion for the Gulf and Primer Group for Malaysia, Singapore, Indonesia and the Philippines. In July 2025 Allbirds added Beosport for the Balkans, 911 Fashion for Israel and Tradist Distribution for Türkiye and Central Asia, and said it had deals with 16 companies worldwide. No South Asian country appears in either release.

Those contracts were among the assets assigned to the buyer in June 2026. Whether each continues under the new owners has not been published.

Is Allbirds sold in India?

No document read names an Indian seller. The brand’s own store locator, read on 21 September 2026, lists US states and thirteen other countries, from Saudi Arabia and Japan to the UK, New Zealand and the Philippines. India is not among them. The same list does include the Gulf and South-East Asian markets the company’s releases tied to named distributors.

The brand’s own site will not ship here either. The allbirds.com terms say purchases are “intended for final delivery to locations within the United States”, and that “returns/exchanges can only be done in the country of purchase”.

The Indian companies register, read through the ZaubaCorp mirror, shows no company carrying the Allbirds name; the same search for Birkenstock finds that brand’s Indian subsidiary. Reliance Retail’s partner-brands page does not list Allbirds, though it lists Clarks, Steve Madden, Jimmy Choo and Tory Burch.

Worth knowing

The brand names no Indian seller and its store ships only within the US. A shop presenting itself as the official Indian source should be able to say where its stock came from.

What Allbirds costs in India

There is no Indian price to report. On 21 September 2026 Myntra had no brand filter for Allbirds at all. A free-text search for “allbirds” brought back 28 listings, every one from another brand, such as Teddy Daddy and Giggles. The same method, the same day, found 2,433 listings for Columbia, so the shelf was reading normally.

That is a fact about one large Indian shop on one day, not proof that no pair is sold anywhere in India. With no Indian selling price read, this page sets no price tier for the brand.

The home prices are published. On allbirds.com, on 21 September 2026, the three models read were listed at these prices, with US sales tax added on top at checkout.

allbirds.com product pages, read 21 September 2026. No sale price was shown on these three. No Indian comparison was taken and no currency conversion is shown.

A pair shipped to India from abroad pays 20% basic customs duty plus an 18.5% agriculture cess, 38.5% in all, on its landed value rather than its shelf price, with GST on top. Pairs carried home in your own luggage count instead against the ₹75,000 free baggage allowance.

Where Allbirds is made

The last owner’s 10-K is specific about footwear. “In 2025, we diversified our footwear manufacturing across multiple manufacturers in Vietnam,” it says, adding that the supply chain “remains geographically concentrated in Vietnam”. Apparel and other goods were made “primarily” in the United States, China, Peru and Mexico. The company owned no factories.

The product pages agree where they say anything. The Tree Runner NZ and Dasher NZ pages state Vietnam; the Wool Runner NZ Waterproof page names no country. Under the new owners, American Exchange Group says it “will design and manufacture the footwear”, but it has not said where.

What the product pages claim

Allbirds built its name on material claims, and the pages still make them. The Tree Runner NZ lists “Sugarcane-based SweetFoam® cushioning”. A 2020 company release said SweetFoam was developed in partnership with Braskem and opened to the whole industry. No page read gives a bio-based percentage for the foam.

The wool claim has changed wording. The 2025 10-K describes “superfine ZQ certified merino wool”, naming ZQ, a certification scheme for wool. The Wool Runner NZ Waterproof page, read on 21 September 2026, says only “responsibly-sourced Merino wool”, with no scheme named.

The same page calls its membrane “impenetrable, fluorine-free” and its wool “treated with water repellent C-Zero DWR”, a durable water-repellent coating. It publishes no hydrostatic-head figure, the usual measure of how much water pressure a fabric holds back, and names no test standard.

The carbon labels have the longest paper trail. The company’s methodology, last updated in March 2024, follows ISO 14067, the international standard for product carbon footprints, and cites a verification by Industrial Ecology Consultants dated 5 February 2021. It gives an average footwear footprint of 6.22 kg of CO₂e. An October 2024 release gave a 2023 average of 5.54 kg per product. From 2024 the 10-K says measurement moved to Carbonfact, a measurement platform; no verification of the later figures was found. No per-product carbon figure appears on the three product pages read on 21 September 2026.

The company had set itself a 50% cut in each product’s footprint by the end of 2025. Its 10-K, filed in March 2026, says “reporting for 2025 is not yet available”. It also says Allbirds was first designated a B Corp in 2016. Whether that certification moved with the brand to its new owners is not stated in any document read.

Buying a genuine pair

Allbirds publishes no authenticity check. Its help and terms pages carry no code, hologram, QR or serial lookup, and no list of authorised Indian sellers. UGG, by contrast, runs a dedicated page on buying genuine pairs, so such pages exist in the trade. The only relevant Allbirds line is that goods bought “at another retailer” go back to that retailer.

Web searches for Allbirds in India bring up several India-named web addresses using the brand name. The brand’s owner names no Indian website or seller, and its terms confine its own sales to the United States. That does not say what any one of those sites sells; it says the brand does not vouch for them.

Check 01

Ask where the stock came from

No Indian seller is named by the brand. A shop should be able to show you an invoice or import record for the pair.

Check 02

Turn the box over

An Indian sale needs the Legal Metrology block: MRP inclusive of taxes, country of origin, and the manufacturer or importer. For recent footwear, expect Vietnam.

Check 03

Match the style code

Compare the code on the box, such as A11914 for the Tree Runner NZ in Natural White, with the brand’s own product page.

The Indian court record

An Indian Kanoon search on “Allbirds”, run on 21 September 2026, showed no matching results. The same search on Birkenstock does show results, so the search does reach footwear brands. On that search term, the record holds no Indian decision on Allbirds.

Who Allbirds is actually for

Allbirds suits a buyer in the United States, or one travelling there, who wants a light wool or tree-fibre sneaker and values published material claims. Its sale is documented to the dollar and the vote, its footwear origin is stated, and its carbon method names a standard and a verifier, even if that verification dates from 2021.

It suits an Indian buyer poorly today. The brand names no Indian seller, its own store ships only within the US, and the owner of the brand is described three ways by three documents. Sneakers with an Indian shelf and an audit of their own include Skechers, New Balance and Asics, and Crocs is another American footwear name with an Indian presence on record.

Common questions

Who owns Allbirds now?

The sale filing names Allbirds IP LLC, affiliated with American Exchange Group, as buyer on 9 June 2026. American Exchange Group’s release calls WSG Brands a co-owner, and the US website names AB Dnam, LLC as operator. No document read sets out how the three fit together.

Is Allbirds still listed on Nasdaq?

The company that listed as Allbirds, Inc. still trades as BIRD, but it renamed itself Smartbird, Inc. on 15 June 2026 after selling the brand. It now describes itself as an AI infrastructure provider.

Is Allbirds an American brand?

Yes. It was listed in the United States by Allbirds, Inc., an SEC filer, and the purchaser named in the sale filing is a Delaware company. Its footwear is made in Vietnam, per the 2025 10-K.

Can I buy Allbirds in India?

The brand names no Indian seller, and allbirds.com delivers only within the United States. Myntra had no Allbirds brand listing on 21 September 2026, which is a reading of one shop on one day.

How do I check a pair is genuine?

Allbirds publishes no verification code or page. Read the MRP, origin and importer block on the box, match the style code with the brand’s product page, and ask the seller where the stock came from.

The FA take

Allbirds’ paper trail is better than most brands on this site. The sale is recorded to the vote and the dollar, $40.7 million on 9 June 2026. The 10-K states where the shoes are made, and the carbon method names a standard and a verifier. For a buyer in the United States, that is a lot of published detail behind a $100 sneaker.

For India, the record is close to empty. No document names an Indian seller, the brand’s store ships only within the US, and Myntra showed no brand listing on 21 September 2026. The owner is described three ways by three documents. No carbon figure appears on the three models read, and the waterproof model’s page says “responsibly-sourced” where the 10-K said “ZQ certified”.

A well-documented American sneaker with new private owners and no Indian seller on record: buy it in the US if you want it, and treat any Indian offer as unproven until the seller shows where the pair came from.
