Patagonia Brand Audit: Trust Ownership and India Prices

Patagonia brand audit: owned by a trust and a non-profit since 2022, with an Indian fabric mill among its suppliers, where it is made and what Myntra charges.
Patagonia brand audit by FashionAudit: Patagonia logo and the headline “Trust Ownership and India Prices” over a technical fleece jacket and a puffer jacket

Patagonia is an American outdoor clothing company with an unusual ownership structure. Since September 2022 a trust has held all of its voting shares and a US non-profit all of the rest, and the company says every dollar it does not reinvest goes out as dividends.

India touches it in two unexpected places. An Indian mill supplies its fabric and Indian farms most of one of its cotton types, yet no Patagonia document we read names anyone who sells the brand here. On 22 September 2026 the Indian fashion marketplace Myntra carried six Patagonia listings in all.

The short answer

Patagonia is privately held: the Patagonia Purpose Trust owns all voting stock and 2% of the company, the Holdfast Collective all non-voting stock and 98%. It has no Indian company, distributor or finished-goods factory that we could find, though Arvind Limited in Gandhinagar is on its list of material suppliers. Myntra carried six listings on 22 September 2026, five of them from a third-party reseller, at a median ₹19,445 paid.

Who owns Patagonia

Patagonia has no listed parent, no ticker and no stock exchange. Its ownership page states the arrangement plainly: “The Holdfast Collective owns 98% of the company and all of the nonvoting stock. The Patagonia Purpose Trust owns 2% of the company and all of the voting stock.”

The change was announced in a letter from the founder, Yvon Chouinard, dated 14 September 2022, and a company press release the same day. The Chouinard family transferred ownership to the two entities. The family guides the Purpose Trust, which oversees board elections, so control sits with the trust while almost all the economic value sits with the Collective.

Who holds Patagonia since September 2022
  • Purpose TrustAll voting stock; 2% of the company
  • Holdfast CollectiveAll non-voting stock; 98% of the company
  • Patagonia WorksHolding company for the global apparel business
  • DividendsEvery dollar not reinvested is paid out

In the company’s words, the trust was “created to protect the company’s values”.

The release promised that “every dollar that is not reinvested back into Patagonia will be distributed as dividends”, and expected about US$100 million a year, subject to how the business performed. Ryan Gellert stayed as chief executive and Charles Conn became board chair. Trade press reading the company’s 2025 impact report put the total paid to the Holdfast Collective since the restructuring at US$180 million — a press figure paraphrasing the company, not a filing.

What the Holdfast Collective is

The Collective’s US tax filings, read through the ProPublica mirror rather than the forms themselves, list it as “Holdfast Tr” in Jackson, Wyoming. Its status is 501(c)(4), an American social welfare organisation. The mirror records total assets of $1,443,491,840 and expenses of $38,399,792 for fiscal 2024.

Patagonia is therefore not independent in the founder-owned sense, not owned by a conglomerate and not held by a private-equity fund. None of the usual labels describes a trust and a non-profit, so this page applies none.

How big the business is

Patagonia publishes no audited accounts. Its FY2025 Climate Risk Report, dated 1 January 2026, states that “total FY25 revenue is $1.47 billion”, split 61% US and 39% international, excluding its food business. That is a climate disclosure made under California law, not a set of accounts, and it covers the year ending 30 April 2025. One trade report gives the year-end as 1 April; the company’s report and press release say 30 April.

Who sells Patagonia in India

No seller is named in the documents we read. We read the ownership page, the 2022 release, the benefit corporation report for FY23 and FY24, the climate report, the 2025 impact page, the international-orders pages and the store locator. None names an Indian subsidiary, joint venture, licensee or distributor.

The store locator describes itself as US-focused and showed no Indian dealer. Patagonia sends shoppers in Argentina, Australia, Chile, China, Hong Kong, New Zealand, South Korea and Taiwan to regional sites of their own. India is not on that list, and B Lab’s listing of the company’s operating countries does not include India either.

One route is stated. Patagonia’s own international-orders page lists India as a country it ships to from the US.

Seven Patagonias on the register, none of them this one

Searching the Indian companies register for the word brings up seven entities, and none is a Patagonia company or the subsidiary of any foreign company. Patagonia Electricals, Patagonia Wellbeing and Clean Max Patagonia were all incorporated in 2024, in electronic components, business support and power generation. The rest are near-spellings.

None of them is connected with the clothing brand in any document we read.

The six listings on Myntra

Myntra’s Patagonia brand filter held six products on 22 September 2026, and we read all six: three jackets, two pairs of shorts and one sweatshirt.

A third-party reseller was the seller of record on five of the six; one record showed no seller.

The declared countries of origin were Sri Lanka on three, Vietnam on two and Mexico on one — all three countries on Patagonia’s own factory list. The manufacturer line on all six carried an address in Ventura, California, and no company name.

That line is part of the Legal Metrology declaration, and the same block is printed on the package: maximum retail price inclusive of all taxes, country of origin, and the name and address of the manufacturer or importer. If the box names no company, ask the seller before you accept it.

What Patagonia costs in India

The six Myntra listings carried a median MRP of ₹20,750 and a median price actually charged of ₹19,445 — 93.7% of the tag. Five of the six were reduced, but only shallowly.

Those are one reseller’s prices on six garments. They are a fact about a shelf, not the brand’s Indian price, and six listings are too few to set a tier on, so this page sets none.

At home the prices are public, with a product code on each. Three read on patagonia.com on 22 September 2026:

Product, US siteStyle no.Full priceMade in
Men’s Better Sweater Fleece Jacket25528US$169Thailand
Men’s Nano Puff Jacket84212US$239Vietnam
Men’s Torrentshell 3L Rain Jacket85241US$189Vietnam

The Nano Puff was also shown at US$118.99 in some colours, a 50% markdown; the table uses the full price. American list prices exclude sales tax, which each state adds at checkout, while an Indian MRP includes all taxes by rule.

Why this page prints no India-versus-America gap

A fair comparison needs the same garment on both sides. Where a brand runs its own Indian store under global codes, as Uniqlo, Zara and H&M do, that test is simple. Patagonia has no Indian store, and none of the six Myntra listings showed a code matching the three above, so no conversion was made and no gap is printed.

Where Patagonia is made, and India’s part in it

Patagonia publishes a list headed “Factories, Farms and Material Suppliers”. As published on 22 September 2026 it named 36 finished-goods factories in 12 countries: Vietnam 16, Sri Lanka 7, two each in Indonesia, Thailand and El Salvador, and one each in Jordan, Nicaragua, Bangladesh, Mexico, Colombia, Peru and the United States. None is in India.

India appears one step back. Among 19 material suppliers is Arvind Limited (Shirting and Khaki Divisions), the only Indian facility on the list. Patagonia’s own page for it gives Gandhinagar, a textile mill, “Woven Fabrics” and 5,491 workers — a fabric supplier, not a garment factory.

A 2022 company story describes khadi denim made with Arvind: organic cotton hand-spun and hand-dyed by 117 artisans in Gujarat villages, about 100 of them women, then cut and sewn in a factory whose location it does not state. And the climate report says that “India provides the majority of the sourced Regenerative Organic Certified™ cotton”, which it calls a strategic material.

So the relationship runs one way: Patagonia buys from India and names nobody who sells to India. Readers who want an Indian outdoor label, audited on the same terms, can start with Wildcraft.

What stands behind the claims

Patagonia attaches a number to many of its claims. The useful test is which numbers come with a standard or an outside checker, and which are the company’s own.

ClaimNumber publishedWho checks it
B CorpScore 166.0; certified since December 2011B Lab
Fair Trade Certified sewing87% of products FY23, 88% FY24Fair Trade USA

Recycled materials73% of materials, FY24Company figure
PFAS-free products97%, FY24Company figure
H2No waterproofing20,000mm new, 10,000mm after testingPatagonia’s H2No standard

H2No is Patagonia’s in-house standard: “The first Killer Wash tests are performed at 20,000mm of water and then again to ensure the fabric maintains a 10,000mm water rating.” The Killer Wash is said to simulate up to 30 years of use. On the pages read on 22 September 2026, the H2No page names no ISO, AATCC or JIS method and no outside laboratory for these figures.

Patagonia publishes its own list of 36 finished-goods factories in 12 countries; none of them is in India.

The Fair Trade share moves with the source. The company’s benefit corporation report gives 87% for FY23 and 88% for FY24; an undated company page says “over 90% of our line”; and trade press citing the 2025 report says over 95% for FY25. Each belongs with its year.

Two recycling figures also sit apart. The 73% figure measures all materials in FY24. A separate FY25 figure, reported by trade press from the company’s report, says only 6% of synthetic fabrics came from secondary waste against a 50% goal. They measure different things, and neither cancels the other.

Patagonia says it repaired 174,799 products worldwide in FY25, and its UK help page states the Ironclad Guarantee: “We guarantee everything we make.” No document we read says whether that guarantee or the repair service reaches a garment bought through an Indian reseller, so an Indian buyer should not assume it does.

Can a buyer check that a Patagonia is genuine?

Not against the garment. Nothing Patagonia publishes offers a code, hologram, QR tag or serial lookup. Its checks are about the seller, and its UK help page is blunt about marketplaces:

“Patagonia prohibits its authorized dealers from selling on online marketplaces like amazon.com, ebay.com and some other well-known online platforms.” The same page adds that “Patagonia cannot assure that products you buy from these providers or in these stores are authentic”, and points buyers to patagonia.com, its own stores or dealers on its store locator.

That page does not name Myntra, and none of this is a finding about any seller. The brand’s own suggested check — a dealer on its locator — showed no Indian dealer on 22 September 2026.

Check 01

Look for the seller on the locator

Patagonia’s Australian help centre tells buyers to confirm a website appears on its store locator. No Indian dealer appeared on it on 22 September 2026.

Check 02

Be wary of the web address

An authorised Oregon dealer reproduces a list of six dealers permitted to use “patagonia” in their URL. None is Indian.

Check 03

Treat a deep cut as a warning

The same Australian guidance flags discounts of more than 60% off as a sign to check the seller before paying.

Check 04

Read the box

Match the country of origin and the manufacturer or importer on the package against the listing, and keep the invoice.

What the Indian courts have decided

A search of Indian Kanoon on “Patagonia Inc” and “Patagonia trademark” on 22 September 2026 showed no Indian judgment involving the company.

The bare word finds something else entirely. The first ten results under “Patagonia” all cite a 1914 English case, Kreglinger v New Patagonia Meat and Cold Storage Co, which has nothing to do with the jacket maker. Nobody has ruled on anything about the brand in India that we could find.

Common questions

Who owns Patagonia?

Since September 2022 the Patagonia Purpose Trust has held all voting stock, 2% of the company, and the Holdfast Collective all non-voting stock, 98%. The Chouinard family guides the trust. The company is privately held and not listed anywhere.

Is Patagonia officially sold in India?

No Patagonia document we read names an Indian company, distributor or dealer, and its store locator showed none. Its own international-orders page lists India as a country it ships to from the US. Myntra carried six listings on 22 September 2026, five of them from a third-party reseller.

Is Patagonia made in India?

Not its finished garments, on the list it published on 22 September 2026: 36 factories in 12 countries, none Indian. Arvind Limited in Gandhinagar supplies woven fabric, and the company says India provides most of its Regenerative Organic Certified cotton.

How much does Patagonia cost in India?

On 22 September 2026 the six Myntra listings had a median MRP of ₹20,750 and a median price paid of ₹19,445. At home a Better Sweater fleece jacket is US$169 before sales tax. No like-for-like comparison was possible.

What does Patagonia’s H2No waterproofing rating mean?

H2No is Patagonia’s own performance standard. It publishes 20,000mm of water for new fabric and 10,000mm after its Killer Wash, which the company says simulates up to 30 years of use. A buyer who wants the test report can ask the brand.

The FA take

Patagonia is one of the few clothing brands that tells you, in its own documents, who owns it, where each factory is and how its dividends are spent. The 36-factory list, the Fair Trade share by year and a waterproofing figure in millimetres give a buyer figures to check rather than adjectives.

For an Indian buyer, though, the brand hardly exists as a local business. The documents we read name no Indian seller, and its locator showed no Indian dealer on 22 September 2026. The six Myntra listings, at a median ₹19,445, are close to their tags, and nothing we read says whether the guarantee or repairs reach a garment bought through an Indian reseller. At those prices it suits a buyer who wants this brand specifically and is willing to check the seller and the box.

Admire the paperwork, and in India check the seller, the box and the invoice before you pay.
