Thomas Scott Brand Audit: Two Listed Companies, One Label

Who owns Thomas Scott, which related listed company is printed on its marks and runs its shop, who signs for the garments, and what they sell for against MRP.
Thomas Scott brand audit by FashionAudit: Thomas Scott logo over a slim-fit men's formal shirt

Thomas Scott is a Mumbai menswear label, and although the words look like a man’s name, this page is about companies only. The brand belongs to Thomas Scott (India) Limited, CIN L18109MH2010PLC209302, traded on the BSE as 533941 and on the NSE as THOMASCOTT. That company was formed in October 2010 to take over the retail business of an older listed Mumbai firm, Bang Overseas Limited, whose name still appears on the brand’s paperwork.

Read on 29 September 2026, the brand splits three ways. Thomas Scott (India) Ltd signs for the garment on each of 20 marketplace declarations opened; Bang Overseas Limited was seller of record on 16 of them; and the trade-mark mirror prints the class 25 marks to Bang Overseas. The brand’s shop, thomasscott.in, sold an olive linen shirt for ₹899 against a printed ₹3,599.

The short answer

Thomas Scott’s paperwork names two listed companies. Thomas Scott (India) Limited books the revenue and is the name under “Manufactured By”; Bang Overseas Limited, whose retail division it took over in 2011, is printed on both class 25 marks on the mirror, is named in the shop’s terms as the site’s operator, and sold 16 of 20 marketplace records read. On that shelf the median price paid was 28.0% of the median MRP. The shop allows seven days for returns, wants an unboxing video for a damage claim, refunds cash-on-delivery orders as store credit, and its terms disclaim any warranty on quality.

Who owns Thomas Scott

A companies-register mirror, zaubacorp, carries Thomas Scott (India) Limited as “Active”, incorporated on 22 October 2010, paid-up capital ₹14,67,03,800, activity code NIC 1810, “Manufacture of wearing apparel, except fur apparel”. Its registered office differs by source: the 2025-26 annual report gives “447, Kewal Industrial Estate, Senapati Bapat Marg, Lower Parel (W)”; the mirror, whose latest balance sheet on file is for 31 March 2023, prints “50, KEWAL INDUSTRIAL ESTATE”. Both are given as printed.

One change of control is on the record, and it is where the brand came from. A Business Standard company profile says the company “was incorporated in October 2010 with the objective of taking over the Retail Division and Business of Bang Overseas Limited under the brand name Thomas Scott on a going concern basis through Scheme of Arrangement”. A news report dated 22 July 2011 describes a demerger at one ₹10 share of the new company for every four Bang Overseas shares, approved by shareholders on 1 April 2011 and by the High Court of Bombay.

The accounts are standalone; the 2025-26 annual report says the company “has not acquired any subsidiaries, joint venture or associates” as on 31 March 2026. For that year the audited results print revenue from operations of ₹25,488.58 lakh and profit after tax of ₹1,930.45 lakh. Press coverage of the 2026 licences called the year “consolidated”; the company’s statements are headed standalone, and this page follows them. They describe a “single business segment of manufacturing and trading of textile products”, and the June 2026 quarter release says “export turnover of the Company is nil”.

At 30 June 2026 the shareholding pattern puts promoter and promoter group at 52.32%, and its one body corporate in that group is “BODYWAVE FASHIONS(INDIA) PRIVATE LIMITED”, at 0.07%. Bang Overseas Limited does not appear as a shareholder in that document; the 2025-26 annual report names it as a promoter group entity.

How Thomas Scott reaches the shelf

The documents read hand the brand’s jobs to two companies, not one.

Bang Overseas Limited is a company in its own right: “Active” on the register mirror, incorporated on 1 June 1992, with a wholesale activity code and a registered office at “405-406, Kewal Industrial Estate”, the numbers Thomas Scott’s annual report gives for its own corporate office. The 2024-25 annual report listed “Sale of goods”, “Purchase of goods” and “Purchase of fixed assets” with “M/s. Bang Overseas Limited” among material related-party transactions for that year.

The corporate site lists four shirt brands: Thomas Scott, Hammersmith, Bang & Scott and Italian Gold. In 2026 the company also took on two licences, for Dockers under an agreement with ABG-Dockers LLC reported from its 6 August filing, and for Forever 21 under an “exclusive licensing and global designated supplier agreement” with F21 IPCO LLC, an Authentic Brands Group unit, dated 28 September 2026. Both are licences; neither moves Thomas Scott to anyone else. No document read gives a count of shops or a split of sales between channels.

Thomas Scott on the shelf

On 29 September 2026 the Thomas Scott facet on a large Indian fashion marketplace held 3,999 listings, with no neighbouring facet carrying the name. The first 40 in facet order leaned casual; their five largest categories were 14 T-shirts, 9 sweatshirts, 5 shirts, 4 laptop bags and 2 pairs of boxers, 34 of the 40. Median MRP was ₹4,999 and median paid ₹1,399, a share of 28.0%, and not one of the 40 sat at MRP. A “Self Design Polo Collar Cotton Tshirt” printed ₹5,499 and sold for ₹986.

Behind a T-shirt filter, 30 listings read lower still: median MRP ₹3,599, median paid ₹902.50, a share of 25.1%, with 29 reduced. Among the ten Indian menswear shelves read on the same date, only Highlander’s share, 25.6%, was lower than Thomas Scott’s, and Thomas Scott was one of four with all 40 reduced.

Twenty of the 40 were opened one by one: origin India on all 20, importer field empty on all 20, seller of record BANG OVERSEAS LIMITED on 16 and Supercom Net on 4. They were 8 sweatshirts, 5 T-shirts, 2 shirts, 2 trousers, and one each of boxers, jeans and a jacket.

Where Thomas Scott is made

India is the only country declared on the records read, and no document read gives a country share or a count of outside makers. The company’s own plant counts differ by document. Its corporate Infrastructure page, under a “© 2015, Thomas Scott (India) Ltd.” footer, describes “two highly efficient manufacturing units in Bangalore and Europe (Macedonia)”; press reports of the August 2026 Dockers filing speak of “four existing manufacturing facilities” without locating them. Nothing here is drawn from the gap between the two.

Read the declaration block as a signature, not a map. Under Indian packaging rules the “Manufactured By” field names whoever answers for the goods; it does not locate a sewing floor. Here it carries two strings. The marketplace field reads “Thomas Scott (India) Ltd, FOREVER CLOTHING COMPANY, Plot No.24/A & 24B, Godawari Nagar, MI…”, cut off where the field ends; the shop’s product pages read “Thomas Scott (India) Ltd, FCC- Solapur 413006”. Both strings are given as printed.

The About page names OEKO-TEX Standard 100, Better Cotton Initiative sourcing, and BSCI and Sedex audited facilities, but prints no certificate, licence or audit number for any of them.

Bang Overseas on the marks and in the shop’s terms

Every mark below is as quickcompany.in showed it on 29 September 2026; that site copies the register without being it. THOMAS SCOTT, No. 1074627, class 25 for “Readymade Garments, Under Germents And Hosiery Included In Class 25” (the mirror’s spelling), filed on 18 January 2002 with use claimed from 17 January 1997, reads “Registered” and runs to 18 January 2032. THOMAS SCOTT (Label), No. 1405641, class 25, filed on 13 December 2005, reads “Registered” on the mirror; check its current validity on the official register. Both give the holder as “Bang Overseas Public (company)”, Mumbai, a string unlike the company’s registered name, kept as the mirror has it. SMART BY THOMAS SCOTT, No. 6320037, filed on 26 February 2024, reads “Objected”; its listing names an individual as applicant, its detail page “Thomas Scott Public”, Mumbai.

A copy of the register shows who filed, for which goods, and the status last copied across; it cannot show who sells or what two companies have agreed. These entries print Bang Overseas, not Thomas Scott (India) Limited, against both class 25 marks, and no document read sets out how the two companies arrange the name between them.

The shop’s terms name Bang Overseas too. They open with the operator.

This website is operated by Bang Overseas Limited a public limited company having its administrative office at 403-Kewal Industrial Estate, Senapati Bapat Marg, Lower Parel, Mumbai 400013 IN.

thomasscott.in, Terms of service, “Overview”; read 29 September 2026.

The next sentence says “we”, “us” and “our” throughout the site “refer to Thomas Scott”, a brand name rather than either company, and jurisdiction is “conferred on the Courts at Pune”. No document read sets out how the two companies divide the brand’s work.

Returns, warranty and who answers

The shop’s Returns & Exchange policy says “Return requests can be raised within 7 days of delivery”, for items “unused, unwashed, unworn” with tags on. Damage, defect or missing-item claims need a mandatory unboxing video. Prepaid orders are refunded “to the original payment method within 5–7 business days”; “Refunds for COD orders will be issued only as Thomas Scott Store Credit”; shipping, COD, convenience and handling fees stay with the shop. The policy read names no company.

The terms offer no warranty of their own. They say the site does “not warrant” that the quality of what a buyer purchases “will meet your expectations”, and they reserve the right to “BLOCK/BLACKLIST any customer for any reason”.

So a Thomas Scott shopper holds a label naming one company, terms naming Bang Overseas, and a returns page naming neither. The terms, privacy policy and contact page give contact@thomasscott.in, plus a phone number on the contact page, and name no grievance officer. The returns page does not say which company takes the money. On a marketplace order the seller of record printed on the listing was Bang Overseas Limited or Supercom Net on the records read, while the “Manufactured By” line names Thomas Scott (India) Ltd for the goods. Keep the invoice, and film the parcel being opened.

No document read prints a Thomas Scott price outside India, and every marketplace record read declared India with the importer field blank. Neither channel sold near the printed MRP on the day: the brand’s own shop marked the linen shirt 75% down and the tartan one 60% down, and on the marketplace the median paid was 28.0% of the median MRP. The number to compare is the selling price on the day, starting with the brand’s own shop. Other Indian shirt names audited on this site include Arrow in India, Blackberrys and Flying Machine.

Checking a Thomas Scott is genuine

No page read on thomasscott.in carries an authenticity statement or a list of approved sellers, so the checks rest on what the pack and the shop print.

Check 01

Look for Thomas Scott (India) Ltd under “Manufactured By”

All 20 marketplace records read put that company first on the line. Another firm there is a reason to ask before paying.

Check 02

See who is selling

Bang Overseas Limited sold 16 of the 20 records read and Supercom Net the other 4. Bang Overseas is also the company named as the shop’s operator.

Check 03

Set the price against thomasscott.in

The brand’s own shop sold at 60% and 75% off on 29 September 2026, so a low price is normal here. Compare the same code on both.

Check 04

Expect India and no importer

Every record read declared India and left the importer field empty; a declared importer would not match them.

The record in India

The one court step in the documents read is the 2011 scheme, whose approval by the High Court of Bombay is reported in a news item dated 22 July 2011. The 2025-26 annual report states “there are no significant and material orders passed by the regulators or courts or tribunals impacting the going concern status and company’s operations in future”. A reading of the company’s filings on 29 September 2026 did not find any decided court or tribunal matter involving the Thomas Scott brand. Beyond that scheme, nobody has ruled on the Thomas Scott marks, packs or shop as this page describes them.

Who Thomas Scott is actually for

Thomas Scott suits a buyer after casual shirts, T-shirts and sweatshirts at sale prices, who reads the selling price rather than the MRP, and who is content that one listed company signs for the goods while Bang Overseas, a related listed company, is printed on the marks and runs the shop. It suits less well someone who expects a warranty or a cash refund on a cash-on-delivery return. For a wider look at Indian menswear, this site’s Raymond audit sets out a much larger group’s chain.

The FA take

Thomas Scott traces to a listed owner, and its paperwork names two related listed companies. Thomas Scott (India) Limited books the revenue and signs for every garment read; the mirror prints the class 25 marks to Bang Overseas, which runs the shop and sold 16 of 20 marketplace records. No document read sets out how the two companies arrange the name between them.

The selling price matters more than the MRP here: the shop ran 60% and 75% off, and the marketplace median paid was 28.0% of median MRP. After-sale terms are short: seven days, a video for damage, store credit for cash on delivery, and no warranty.

A sale-rack shirt label with a listed owner behind it; buy on the selling price, film the unboxing and keep the invoice.
