On a large Indian fashion marketplace, read on 26 September 2026, the brand facet for bebe carried 9,010 listings. Twenty were opened and the seller, importer, declared-manufacturer and origin fields on them read.
No entity called bebe is on any of the twenty. Not against the buy button, not on the importer line, not on the manufacturer line. The seller of record on all twenty is Flashtech Retail, the importer field carries two small firms, the manufacturer field holds eight distinct names, and nineteen of the twenty print China as the country of origin.
That sits squarely with what the company whose name it is has filed in the United States. In June 2016 bebe stores, inc. sold its trade marks into a joint venture and took a licence back; in the fourth quarter of the year ended 1 July 2017 it shut its shops; in October 2024 it sold its half of the venture for $33,500,000 and took another licence back. Nothing substantive has been added to its file since 28 February 2018.
The Indian bebe registration stands in the name of a Delaware brand-holding company, printed by a register mirror as “Bb Brand Holdings” of New York. No Indian company is on it. Prices and listings read 26 September 2026: median MRP ₹6,199 and median selling price ₹2,233 across 40 listings, all 40 reduced; USD 169 for a dress on the brand’s own American shop. No price tier here.
Snapshot
- The company whose name this is
- “bebe stores, inc.”, lower case as it files it, CIK 1059272, a California corporation at 400 Valley Drive, Brisbane, California 94005, classified under SIC 2330 “Women’s, Misses’: and Juniors Outerwear”
- What owns the trade marks
- BB Brand Holdings LLC, a Delaware limited liability company formed by agreements dated 8 June 2016. Delaware requires no accounts from it and none are published; the only public figures for it are the $35,100,000 contributed in 2016 and the $33,500,000 paid for a half interest in 2024
- Who holds bebe stores, inc. now
- BRC Group Holdings, Inc., whose 10-K for the year ended 31 December 2025 calls it “a majority owned subsidiary of the Company (‘bebe’)”. That filer was formerly B. Riley Financial, Inc.; the name changed effective 1 January 2026; it trades on the Nasdaq Global Market under RILY. The exact percentage is not stated
- Last annual report from the brand’s own company
- Form 10-K for the year ended 1 July 2017, filed 2 October 2017. A Form 15 terminating its registration followed on 28 February 2018, checking Rule 12g-4(a)(1) and Rule 12h-3(b)(1)(i) and stating approximately 42 holders of record
- How control moved in January 2018
- A filing of 12 January 2018 records “aggregate of 3,319,528 shares of common stock, par value $0.001 per share, of bebe” acquired partly by cancelling $16,917,168.40 of principal and accrued interest at $6.00 per share and partly for cash at the same price. No resulting percentage is stated and none is worked out here
- The estate before the shops closed
- “186 retail stores, of which 147 are bebe stores” and “39 are bebe outlet stores” across “32 states, Puerto Rico, Canada and on-line”, as at 2 July 2016. No filing read gives a closure count with a date, and none is produced here by subtraction
- One year, two presentations
- The FY2016 report gives net sales $393.6 million and a continuing-operations loss of $27.5 million. The FY2017 report, retail moved to discontinued operations, restates that year as a $17.9 million continuing loss and a $9.5 million discontinued loss with net sales as “$—”. FY2017 itself: a $38.3 million continuing loss, a $100.6 million discontinued loss, accumulated deficit from $(19.7) million to $(158.7) million. Two presentations of one year, reconciled nowhere here
- India in the filings of the company whose name it is
- Seven documents on that company’s file contain the word, all of them annual reports, for the years FY2011 to FY2016. None after. No filing read names an Indian licensee, city, store or opening date
- The Indian trade mark
- Application 1648550, mark “Bebe”, classes 3, 9, 18, 35, 14 and 25, filed 31 January 2008, status “Registered”, valid until 31 January 2028, Delhi office, proprietor “Bb Brand Holdings, 240 Madison Avenue, 15th Floor, New York, New York 10016, USA”
- Indian company of this name
- None found on the companies-register mirror. The companies-register mirror carries no BB Brand Holdings entity, no bebe stores entity and no branch or liaison office of either. One name collision, BEBE CLOTHING INDIA PRIVATE LIMITED, reads “Strike Off”
- Seller of record on the Indian shelf
- Flashtech Retail on 20 of 20 records read 26 September 2026
- Who operates the brand’s own shop
- Cart.com, Inc., 1334 Brittmoore Rd., Suite 225, Houston, TX 77043, described in the site’s own terms as “the exclusive seller of record for all products and services offered through this website”, using the marks under licence. Governing law Delaware
- Warranty on the brand’s own shop
- None. The terms of use supply the opposite: the service comes “on an ‘as is’ and ‘as available’ basis, with all faults, and with no representations or warranties of any kind”
- Grievance officer for an Indian buyer
- None published. The contacts on the site are a United States telephone number and an email address
- How the registers were read
- Through public mirrors that republish them, never certified extracts. The official Indian trade-mark search needs a step answered by hand and was not opened; the mirror clips proprietor strings short
- Where licensing enquiries go
- The brand’s own licensing page publishes only two email addresses: “For licensing inquires please contact licensing@Bluestarall.com and for wholesale inquiries please contact wholesale@Bluestarall.com.” Bluestar Alliance LLC publishes the licensing address on its own contact page, calls itself “a global brand management firm”, and lists Bebe beside sixteen other names with no owner, territory or licensee for any of them
- What the last annual reports say about sourcing
- A significant share of apparel came from China, and “We place all of our orders for raw materials by purchase order and do not have any long-term contracts with any supplier.” No contract-manufacturer count, no country-by-country share, and no statement that the company owned a factory
- Price tier
- None. Forty listings on one shelf on one day, against three dress pages on an American site, is not a tier and produces no matched pair
The company sold the name, then licensed it back
On 8 June 2016 bebe stores, inc. entered an operating agreement for “BB Brand Holdings LLC, a Delaware limited liability company”. The split is in the filing: “The Company will own 50.0000000001% of the economic interest in JVCo, and Bluefin will own the remainder.” The other side’s cash bought the marks for $35,000,000; bebe stores, inc. put in “$100,000 in cash”. What came back was permission to trade: “JVCo grants to the Sellers an exclusive license under the bebe trademarks to operate bebe-branded retail stores in the United States (including all territories and possessions) and Canada.” Two countries, and India is in neither.
On 25 October 2024 the other half went. An agreement between bebe stores, inc., HBN 120, LLC, BB Brand Holdings LLC and BKST Brand Management LLC records that “bebe sold its limited liability company interests in the bebe Brands to Buyer, an affiliate of the Purchaser for approximately $47 million in net proceeds”, and lets the seller keep using what it sold: it “includes a license for bebe to continue to use certain trademarks for a period following the closing of the Sale.” Who controls HBN 120, LLC is not established by anything read here.
- Before 8 June 2016Marks held by bebe stores, inc.
- 8 June 2016Sold for $35,000,000; licence back for United States and Canadian shops
- 25 October 2024The 50.0000000001% interest sold on for $33,500,000; a further licence back
- 26 September 2026Indian application 1648550 names “Bb Brand Holdings”; bebe.com’s footer names “BB Brand Holdings”
One quarter, one buyer, and the end of the filings
The retail side closed inside one quarter, and the annual report records it in a sentence:
In the fourth quarter of fiscal 2017 we closed all of our stores and sold all remaining finished goods inventory to Global Brands Group.
bebe stores, inc., Form 10-K for the fiscal year ended 1 July 2017, filed 2 October 2017; read 26 September 2026. The filing gives the quarter, not a day.
Five months later the reporting stopped, with the Form 15 of 28 February 2018. Nothing filed since carries a revenue, royalty or store figure. The brand’s own shop was selling dresses at USD 169 on the day these documents were read.
India, in six years of annual reports and nowhere else
The strongest India sentence on this company’s file is a country list. From the FY2016 annual report: “As of July 2, 2016, we had 82 international stores operated by licensees in 22 countries, including the United Arab Emirates, Russia, Mexico, Turkey, India and other countries throughout Southeast Asia and South America.”
| Filing | Period end | What it says about India |
|---|---|---|
| FY2011 10-K | 2 July 2011 | “In fiscal 2012, we plan to open up to 60 licensee operated stores which include both stand-alone stores and shop-in-shops, and will include planned expansion into India and South Korea.” That year’s country list does not include India |
| FY2012, FY2013, FY2014 and an amended FY2014 10-K | — | India appears; the wording was not quoted individually in the reading |
| FY2015 10-K | 4 July 2015 | “As of July 4, 2015, we had 89 international stores operated by licensees in 20 countries, including the United Arab Emirates, Israel, Russia, Mexico, Turkey, South Korea, India and other countries throughout Southeast Asia and South America.” |
| FY2016 10-K | 2 July 2016 | The sentence quoted above |
| FY2017 10-K | 1 July 2017 | India does not appear. The figure is carried forward as “The 82 international licensees’ operated stores in 22 countries” with no country list |
| Every other document on the file | — | A full-text search of the file for the word returns exactly seven documents, every one an annual report, covering FY2011 to FY2016 — no current report, no release and no material-contract exhibit among them |
The company’s filings on the United States securities register, all read 26 September 2026.
What that set establishes is narrow: India was named as one of a score of licensee markets in a list, in annual reports for six financial years, and in nothing filed afterwards. No filing read names an Indian licensee, franchisee, distributor or sub-licensee, or gives an Indian store count, city or opening date. On the money the reports are general: “We record royalty revenue from product licensees as the greater of the minimum amount guaranteed in the contract or amount sold.”
What the registration settles, and an older Bebe from 1990
Where these rows come from, once. India’s own trade-mark search stops at a box a person answers by hand, which was not opened, so every line here is a mirror’s republication, proprietor strings clipped as the mirror clips them, and nothing missing from a mirror is treated as missing from the register. And a registration is a narrow instrument: it stakes a claim over a word for particular goods from a particular date. It licenses no shop, proves no sale, says nothing about who stitched anything. The class is the part to read.

| Registered user | The mirror carries none | Not recorded in the reading |
Both records opened individually on the mirror, 26 September 2026. The 1989 use date on 526318 is the applicant’s own claim, not proof of trading.
Two readings come out of that pair. A Delhi proprietor, which nothing read connects to the American brand, has held a registered class-25 “Bebe” here since 1990, eighteen years before that brand’s Indian filing. The registered-user field against 1648550 is empty on the mirror — a fact about the mirror and no further, since an Indian licence need not be recorded to exist.
Nothing here comes from a ruling. No judge, tribunal or regulator in India has decided anything about any company named on this page, and no sentence of it is a finding against any of them.
A brand name that is also an ordinary word
“Bébé” is the everyday French, Spanish and Portuguese word for a baby, and the registers behave accordingly: “30 of 3,221 Matches” on the trade-mark mirror, the word held by unrelated proprietors for motor parts, hygiene products, liquor, confectionery and cosmetics, and 1,190 records on BEBE on the companies-register mirror. One of those sounds like this brand and is not it.

Companies-register mirror, read 26 September 2026. A mirror, never a certified extract.
Read the fields rather than the name: ₹1,00,000 paid up, an activity code outside apparel, an email domain pointing at a beads business.
What the licence hands a buyer, and what nobody signs
There is no Indian bebe website, so a shopper looking for terms lands on the home-market shop. Start with the promise about faults, because it does not exist. No page publishes a warranty, a guarantee term or a defect-liability line, and the terms of use carry the reverse: the service comes “on an ‘as is’ and ‘as available’ basis, with all faults, and with no representations or warranties of any kind”. So whose name is on the warranty? Neither the licensor’s nor the licensee’s — there is none to put a name on.
The money is held by neither the brand owner nor a brand manager. The footer reads “bebe.com is a trademark owned by BB Brand Holdings. This website is independently operated by Cart.com, which is the seller of record for all products and services offered through this website.” The terms define that operator as the brand: “Cart.com, Inc. (‘bebe,’ ‘we,’ ‘us,’ or ‘our’)”.
| Page | Window, as printed | Fee | Who pays the refund |
|---|---|---|---|
| Returns | “You can initiate a return within 30 days of your order shipping.” | “a $12 return fee will apply. For refunds or store credit, the fee will be deducted from your total refund.” unless an add-on was bought at purchase | The brand, on inspection; the portal is run by Loop and goods go to 10 Emery Street, Bethlehem, PA 18015. Policy updated 5 November 2025 |
| International | “Return items must be received by us within 60 days of the shipped date to be eligible for a refund.” | “Return labels provided by Global-E will cause a flat fee of $10 USD deducted from your return amount.” | “Global-e will issue refunds via PayPal. Customers will receive a secure PayPal link.” |
Both pages of one site, read 26 September 2026. Which an Indian buyer falls under is stated nowhere on it.
Thirty days against sixty, $12 against $10, a refund from the seller against a refund by link from a third party: one site, two regimes, no sentence telling a buyer in India which is theirs. The exclusions are at least plain — “Final sale items, including all intimates, are not eligible for refund, store credit, exchange, or return”.
On grievance redress nothing is published: no grievance officer, no nodal officer, no Indian address, and the only routes out are a United States telephone number and an email address. The goods would travel through a third party the site names — “bebe.com also partners with a trusted third-party company, Global-E, to fulfill international orders from our website” — and India appears in the currency selector as “India INR ₹” while the shipping page does not name it at all. No duty figure is published and none is calculated here. Compare our audit of a one-label Indian retailer, which publishes both its company and its window.
Authenticity is the last of the four, and a shopper has nothing to check a seller against: no authorised-retailer list, no authentication guide, no counterfeit-reporting route, no where-to-buy policy. The nearest sentence is commercial — “Bebe products are offered through department stores, specialty stores and Bebe branded stores worldwide” — and names no shop, country or company.
₹2,233 on one shelf, USD 169 on another, and no pair
The Indian shelf was read on 26 September 2026, first forty listings in listing order: median MRP ₹6,199, median selling price ₹2,233, which is 36.0% of MRP, all forty reduced. Those forty were led by 20 co-ords and 10 dresses, then 2 jumpsuits, 2 pairs of jeans and 2 jackets, and the neighbouring facet strings BEBE UNICORN at 107 and “mama & bebe” at 127 were kept out as separate brands. The brand’s own American shop, read the same day, printed USD 169.00, USD 169.00 and USD 149.00 for three dresses, none with a compare-at price or a country of origin.
Those readings make no comparison and nothing here pretends otherwise: a co-ord set and a satin dress are different articles, no style code appears on both, and no rupee price for the American styles is published anywhere read. Hence no price tier and no landed-cost arithmetic. The Indian figures support one narrow line — the two medians sit ₹3,966 apart. One shelf, one day, not a direction of travel.
Reading the manufacturer line, and the eight names on it
The field marked manufacturer on an Indian listing does legal work rather than descriptive work. What it yields is one identifiable party that has accepted answerability for a packaged good — somebody a complaint can be served on — and that is the whole of its function. A street address there locates a party that has taken on the duty; it does not put a sewing machine anywhere. So where five of these records print a Dongguan company and two a Kapashera one, the reading available is that those firms were named as answerable, not that a dress came out of either building.
| Field on the listing | What the 20 records carried |
|---|---|
| Seller of record against the buy button | Flashtech Retail on 20 of 20 |
| Declared manufacturer | Eight distinct names, led by XinHongYuan Garments (Dongguan) Co. Ltd on 5, AWL Import and Export (Shenzhen) Co on 3 and Navya Exports, Kapashera Extn, on 2 |
| Importer | SAI ENTERPRISES on 4 and “Harrison, 134 Raja Ram Mohan Roy Road, Mumbai” on 4 |
| Country of origin | China on 19, “China,India” on 1 |
| Any entity named bebe | None, on any line of any of the 20 |
Twenty listings opened individually, 26 September 2026. Names are reproduced exactly as the fields print them — truncated where they truncate, and expanded nowhere.
Nothing read establishes any relationship between that seller, those importers, those manufacturers and the brand’s owner, and this page suggests none. What a buyer does get is practical: a contract of sale is with the seller of record, so Flashtech Retail is the name on an Indian purchase. The trail is shorter where one company signs every line, as at a listed Indian retailer that owns the labels it sells.
- The Indian listingFlashtech Retail, two importers, eight manufacturers, China on 19 of 20
- The Indian register“Bb Brand Holdings” of New York on application 1648550
- The brand’s own shopCart.com, Inc. of Houston, exclusive seller of record
- The licensing enquiry pageTwo emails at a brand-management firm’s domain
Four documents; only the register and the shop’s footer name the owner, and none names an Indian company.
Two published accounts of the same company
The brand’s licensing page sends enquiries to a brand-management firm, whose own page about this brand and the filings describe different situations. Both are printed here rather than resolved. That page says the company “has entered into a joint venture with Bluestar Alliance LLC”, that “Bebe would remain a public company”, and that there are “more than 100 international-licensee operated stores”; it carries no date and no attribution. The filings put the venture at 8 June 2016, the end of the company’s registration at 28 February 2018, and the sale of its brand-asset interests at 25 October 2024 for approximately $46.6 million in net cash proceeds.
What the garments claim
Almost nothing, and none of it carries a number a buyer could test. Product records on the brand’s own shop give fibre content as a bare percentage — “100% Polyester” for shell and lining on styles 705306 and 801611 — with care text that is specific and, as published, misspelt: “Machine Wash Cold Seperately In Laundry Bags. Gentle Cycle. Dry Flat In Shade”. No GSM, colour-fastness grade, shrinkage figure, test method or test house appears. Nor is there a claim to check: no sustainability page, no named fabric technology, no recycled-content claim, no certification mark. Ranges that publish composition and little else are compared in our page on a marketplace’s own womenswear label.
On an Indian listing for this brand, hold on to the seller of record, the only party a buyer has a contract with. That was Flashtech Retail on all 20 records read on 26 September 2026, and no company called bebe was on any line of them.
Common questions
Who owns the bebe brand?
The trade marks sit in BB Brand Holdings LLC, a private Delaware limited liability company set up by agreements dated 8 June 2016, and the Indian registration 1648550 names it as proprietor, printed by the register mirror as “Bb Brand Holdings” at a New York address. The company whose name it is, bebe stores, inc. of Brisbane, California, sold the marks into that vehicle in 2016 for $35,000,000 and took a licence back for shops in the United States and Canada, then sold its 50.0000000001% interest to HBN 120, LLC on 25 October 2024 for $33,500,000 and took a further licence back. bebe stores, inc. is itself described in its parent’s 10-K for the year ended 31 December 2025 as “a majority owned subsidiary of the Company (‘bebe’)”. Who controls HBN 120, LLC is not established by anything read here, and whether BB Brand Management LLC still holds the other part of the venture is not established either.
Which Indian company brings bebe here?
No document read names one. The entire filing history of the company whose name it is contains the word India in seven documents, all annual reports for FY2011 to FY2016, and none of them names a licensee, franchisee, distributor or sub-licensee. The brand’s own pages name no Indian partner; its international page says only that “We have international bebe-licensed stores in many locations worldwide, including Asia, Europe, Latin America and the Middle East”. The Indian companies-register mirror carries no BB Brand Holdings entity, no bebe stores entity and no branch or liaison office of either. What the Indian shelf does name is a seller of record, Flashtech Retail, and two importers, SAI ENTERPRISES and a Mumbai firm printed as “Harrison, 134 Raja Ram Mohan Roy Road, Mumbai” — and nothing read connects any of them to the brand’s owner. An Indian retail group’s own report naming the brand would settle it; none was located in the reading behind this page.
Why does a marketplace listing for bebe declare China?
Because that is what the country-of-origin field printed: China on 19 of the 20 records opened on 26 September 2026, and “China,India” on one. The declared-manufacturer field on the same records held eight different names, five of them XinHongYuan Garments (Dongguan) Co. Ltd, three AWL Import and Export (Shenzhen) Co and two Navya Exports at Kapashera Extn. Treat that field as the party answerable for the goods rather than as a factory: a company named there has accepted responsibility under Indian packaging rules, which is a different statement from where a garment was sewn. The brand’s own last annual reports do say a significant share of apparel came from China and that raw materials were bought on purchase orders with no long-term supplier contracts. One older Indian trade record exists and it is a decade old: an import-shipment aggregator carries four consignments of 17 November 2016 under HS 61103020, described as “LADIES PULLOVER DOUBLE VNK BEBE LOGO TEE 97%RAYON”, origin USA, discharged at Bombay Air Cargo, ten pieces each at $190, with no importer named. That dataset stops in 2016, it mirrors shipment descriptions rather than customs documents, and its keyword total also catches German gear-motor seal rings, Italian hotel cutlery and a Singapore fragrance compound, so the total counts a word and not a brand.
There is a class-25 “Bebe” registered to a Delhi firm. What is that?
Application 526318, status “Registered”, valid to 15 March 2030, proprietor printed by the mirror as “Shagun Enterprises” of Garhi East Of Kailash, New Delhi. It was filed on 15 March 1990 with use claimed from 1 August 1989 — the applicant’s own claim on the form, not proof of trading — and its goods are “Readymade Garments, Shoes, Boots, Slippers, Footwears, Chappals, And Sandals For Persons Upto The Age Of 12 Years”, with ladies’ sandals taken out of scope in 2018. The American brand’s Indian application came eighteen years later, in 2008. Nothing read links the two proprietors and this page asserts no link. The word itself is crowded: the mirror reports “30 of 3,221 Matches” for it across classes, including motor parts, hygiene products, liquor, confectionery and cosmetics, and the class-25 neighbours include “Bebe Poche”, “Bon Bebe”, “Le Bebe” and “Mimi Bebe”, each with a different proprietor.
If something arrives faulty, who do I write to?
On the documents read, nobody has promised anything about a fault. No page on the brand’s own shop publishes a warranty, a guarantee term or a defect-liability line, and the terms of use supply the opposite: the service comes “on an ‘as is’ and ‘as available’ basis, with all faults, and with no representations or warranties of any kind”. There is no Indian site, no grievance officer, no nodal officer and no Indian address on any page read; the published routes are a United States telephone number and an email address, and customer service is operated by Cart.com. On returns the same site gives two windows — 30 days from the order shipping with a $12 fee, or received within 60 days with a $10 label fee and a refund paid by a third party through PayPal — and does not say which applies to a buyer in India. If the purchase was made on an Indian marketplace instead, the contract is with the seller of record printed on the listing, which was Flashtech Retail on all 20 records read.

The paperwork is clear about one thing: the company the name came from no longer owns it. It sold the marks in June 2016 and licensed them back for two countries, shut its shops inside one quarter of the year ended 1 July 2017, ended its reporting obligations on 28 February 2018, and sold the rest in October 2024 for another licence back. India was a word in a list in six years of annual reports and in nothing filed since.
What reaches an Indian shopper is 9,010 listings and declaration fields with no bebe company anywhere on them — one seller of record, two importers, eight manufacturers, China on 19 of 20 origins. No Indian site, no warranty, no grievance officer, two return windows with two fees and no line saying which is yours, nothing a buyer could use to check whether a seller is authorised. The owner appears in two places only, the Indian register, at a New York address, and the footer of a shop another company runs; the mirror shows no registered user.
Buy it as the listing makes it: garments at ₹2,233 against a ₹6,199 MRP, sold by Flashtech Retail, the only party your money has a contract with.
