Garden Vareli is the saree label that its corporate website credits to Garden Silk Mills Private Limited, a polyester textile company formerly called Garden Silk Mills Limited. That listed company changed hands through an insolvency resolution: ICRA records that the National Company Law Tribunal approved a plan by MCPI Private Limited on 1 January 2021, and an index of BSE filings shows a delisting intimation dated 22 January 2021.
Read on 30 September 2026, a large Indian fashion marketplace showed 2,946 Garden Vareli items, and 38 of the first forty were sarees. On twenty declarations opened, Garden Silk Fashions Private Limited, a Kolkata company incorporated in 2024, was the seller every time, and the “Manufactured By” line split between the two Garden companies, 11 to 9.
Garden Vareli belongs to Garden Silk Mills Private Limited of Kolkata, wholly owned by MCPI Private Limited since February 2021 according to its own website, after a resolution plan the NCLT approved on 1 January 2021. The trade-mark mirror prints Garden Silk Mills on the GARDEN VARELI marks in classes 24 and 25. On the marketplace, Garden Silk Fashions Private Limited sold all twenty records opened and signed nine; Garden Silk Mills signed eleven. The first forty listings had a median tag of ₹3,508 and a median price of ₹1,761.50.

Who owns Garden Vareli
The corporate pages of gardenvareli.com speak for Garden Silk Mills Private Limited, shortened to GSMPL, “formerly known as Garden Silk Mills Limited”, and present Garden Vareli as its consumer brand. On ownership they say:
Since February 2021, GSMPL is a wholly-owned subsidiary of MCPI Private Limited (MCPI) and a part of The Chatterjee Group (TCG)
gardenvareli.com, corporate home page, read 30 September 2026.
ICRA’s rationale of 17 September 2024 tells the change of control as a rating agency saw it: on 1 January 2021 the NCLT approved MCPI’s resolution plan to acquire GSMPL through a wholly owned vehicle, MCPI Polyester Pvt. Ltd., for a total consideration of ₹747 crore, and MCPI owns all the equity. ICRA’s note of 14 July 2025 repeats the date. A secondary report, insolvencytracker.in of 8 January 2021, places the case before the Ahmedabad bench. The order itself was not among the documents read.
The old company traded on BSE as scrip 500155. An index of BSE filings shows an “Intimation of Delisting” dated 22 January 2021, and a Bizz Buzz report of 26 January 2021 gave 28 January 2021 as the delisting date, “in pursuant to Resolution Plan approved by NCLT”. Both are dated, decided events, and this page draws nothing further from them.
The ZaubaCorp mirror carries two Garden Silk Mills numbers. U17111WB1979PTC259452, incorporated on 23 July 1979 in Kolkata, names “Garden Silk Mills Limited” as its previous name, shows ₹3,18,00,00,000 paid up and gives an office in Tower 1, Bengal Eco Intelligent Park, Salt Lake Sector V; its LEI record uses the same number. U17119GJ1971PTC001919 was incorporated on 9 July 1971 with a Surat address.
No figure read belongs to the saree label alone. ICRA puts GSMPL’s standalone operating income at ₹3,450 crore for the year to 31 March 2023 and ₹2,837 crore for the year to 31 March 2024, with losses after tax of ₹198 crore and ₹116 crore. Its consolidated figures, ₹9,414 crore of operating income and a ₹98 crore profit for the year to 31 March 2024, are the MCPI group’s. ICRA withdrew its ratings on 14 July 2025 “at the request of the company”. The company’s site gives an “USD 500 million annual gross turnover” without naming a year.
The marks below are read from QuickCompany, a private mirror of India’s register, not from the Registry. A register line records who claimed a word for a class of goods and how far the claim got. It prints no company number, so it cannot say which Garden Silk Mills registration it means, and it says nothing about who wove or sold a saree.

Each row taken from that number’s own QuickCompany page on 30 September 2026. The 2021 filings claim use from 5 May 1951, the applicant’s own statement.
No. 515138 records an order of 20 February 2023, on a Form TM-P request of 30 March 2022, altering the proprietor’s name to the private-company form; Nos. 515132 and 481310 record the same order, while the 2021 filings print “Garden Silk Mills Public”, cut off as shown. A class 23 GARDEN application from the same 2021 set was “Refused” on 16 February 2023.
How Garden Vareli reaches the shelf
The owner’s company page describes a “dealer and point-of-sale network across India”; ICRA says sarees and women’s readymade garments go “through its established network of distributors and retailers”. No store count or dated channel split appears in any document read.
The brand’s own shop, gardenvareli.com, read “Showing 6 of 2277 products” on its saree page on 30 September 2026. This page does not establish which company the shop’s terms name as seller.

Garden Vareli on the shelf
The Garden Vareli facet listed 2,946 items on 30 September 2026, with no neighbouring facet. The opening forty in facet order were 38 sarees and 2 kurta sets, at a median tag of ₹3,508 and a median price of ₹1,761.50, a 50.2% share, all forty below MRP. A “Floral Tissue Designer Saree” carried ₹5,295 and sold at ₹3,003.
Behind a Sarees filter, thirty listings gave a median MRP of ₹3,149 and median paid of ₹1,724, or 54.7%, all reduced. Among ten Indian apparel and innerwear names read that day, Garden Vareli’s 50.2% came seventh, below Dollar’s 77.5% and above Dolce Crudo’s 39.5%.
Where Garden Vareli is made
The owner’s company page names two Gujarat units, “Jolwa & Vareli”, which ICRA places in Surat district, and credits Vareli with “more than 15,00,000 meters of dyed and printed fabrics every month”. No contract maker is named in any document read, and ICRA mentions no job work. Nothing read says where the readymade garments are produced. The page also describes the company as “ISO 9001 certified” and offers “eco-friendly fabrics (PCP-free)”; it does not name the certifier or publish a test report.
All twenty marketplace records gave India as origin and left the importer field empty. Ten “Manufactured By” lines read “Garden Silk Mills Pvt. Ltd. Village Vareli, Taluka Palsana, Kadodara, Surat, Guj…”, cut short by the field, and an eleventh differed from them only in spacing; eight read “GARDEN SILK FASHIONS PRIVATE LIMITED Plant, Vareli Surat, GUJARAT – 394327”, and one gave Garden Silk Fashions at “Village Vareli, Building 12”.
That line is a statement of responsibility: it tells a buyer which company Indian packaging rules hold to account for the saree, and where a complaint goes. It does not record which loom wove the cloth. A Vareli address after Garden Silk Mills’ name shows where that company answers from, and no more.
Two Garden companies and a third name
Garden Silk Fashions Private Limited is a separate company: CIN U13999WB2024PTC273941, incorporated on 7 October 2024 in Kolkata, ₹2,22,60,00,000 paid up, on the ZaubaCorp mirror. Its registered office is printed as “Bengal EcoIntelligentPark,Tower1 3rd FlrSecVBlockEM,Saltlake”, the tower and floor Garden Silk Mills gives. Its Gujarat GST registration, dated 5 October 2025, names “Plant Vareli Kadodara” as principal place of business.
On the marketplace declarations read, it was the seller on twenty Garden Vareli records and the answerable name on nine.
The brand shop adds a third name. Its saree page reads: “Heritage Brand: Over 80 years of textile expertise through Garden Fashion Mill Pvt. Ltd.” The corporate pages of the same site name Garden Silk Mills Private Limited.
Returns, warranty and who answers
What a Garden Vareli buyer can lean on after paying depends on where the saree came from. The brand shop’s saree page carries an “Easy Returns” heading and one instruction, “Review delivery and return terms before checkout.” This page does not summarise the shop’s return window, warranty or grievance contact; read them on the shop before paying.
On the marketplace the names are clearer than the terms: Garden Silk Fashions sold every listing opened, while packs named either Garden company, and the marketplace’s return terms were not read. Note both names, keep the invoice with the outer tag, and save the return terms the checkout shows before paying.
What Garden Vareli costs in India
With India declared as origin and no overseas price in any document read, the comparison is between the brand shop’s price bands and the marketplace. The saree page offered filters of “less than ₹999”, “₹1000 to ₹1999”, “₹2000 to ₹2999” and “Above ₹3000”, and no single saree was matched across the two.
| Garden Vareli listings read | Median MRP | Median paid | Paid as % of MRP | Below MRP |
|---|---|---|---|---|
| Opening forty in facet order (38 sarees, 2 kurta sets) | ₹3,508 | ₹1,761.50 | 50.2% | 40 of 40 |
| Thirty sarees behind a Sarees filter | ₹3,149 | ₹1,724 | 54.7% | 30 of 30 |
| Named listing: Floral Tissue Designer Saree | ₹5,295 | ₹3,003 | 56.7% | Yes |
Marketplace readings of 30 September 2026. Medians are of the printed MRP and printed selling price; the share divides the median paid by the median MRP.
Put side by side, the median marketplace tag sat in the shop’s top band and the median price in its second. The selling price, not the MRP, is the figure to compare between sellers. For two other Indian womenswear names, see the Biba brand audit and the Libas brand audit.
Checking a Garden Vareli is genuine
No brand page read lists authorised sellers or offers a check, so the declaration fields and the invoice are the buyer’s record.
Note the name after “Manufactured By”
The packs read named Garden Silk Mills Pvt. Ltd. at Village Vareli, Kadodara, on 11 and Garden Silk Fashions at Vareli on 9. Write down which one your pack names, alongside the invoice.
Note the seller of record
GARDEN SILK FASHIONS PRIVATE LIMITED sold all twenty records opened and Garden Silk Mills none. The seller field names who took the payment; keep that page with the order.
Expect India and an empty importer box
All twenty declarations gave India and a blank importer field. A foreign origin or an importer matches nothing read.
Read both words, not just “Garden”
“Garden” in class 25 showed 4,171 matches on the mirror. The registered clothing mark is GARDEN VARELI.
The record in India
The decided events concern the company, not the sarees: the NCLT’s approval of MCPI’s plan on 1 January 2021, as ICRA records it; BSE’s delisting intimation of 22 January 2021; and ICRA’s withdrawal of its ratings on 14 July 2025 at the company’s request. The main GARDEN VARELI marks read “Registered” on the trade-mark mirror.
Beyond those, FashionAudit did not find a court decision or regulator’s action about Garden Vareli goods, packs or prices in the documents read. Nobody has ruled on any point set out here about the GARDEN VARELI marks, the saree packs or the gardenvareli.com pages; each company is named as its own record names it.
Who Garden Vareli is actually for
Garden Vareli suits a buyer looking for a saree at around ₹1,700 to ₹1,800 on the marketplace who wants a label leading back to a textile company with named Gujarat units and a documented parent. Every pack read gave one of two Garden companies at a Vareli address, so a complaint has somewhere definite to go.
A buyer on the brand shop should read its return terms at checkout, as its saree page advises. For another comparison, see the Anouk brand audit.

Garden Vareli leads to a company quickly, but not to only one. Its site, ICRA and the trade-mark mirror point to Garden Silk Mills Private Limited, owned by MCPI since the NCLT-approved plan of 1 January 2021, and eleven of twenty packs read carried that name at Vareli. The other nine named Garden Silk Fashions, a Kolkata company incorporated in 2024, which sold all twenty.
The label sold at about half its tag on the day read, which puts the median saree near ₹1,760 against a tag of ₹3,508.
A traceable saree label from a textile company, selling at roughly half the printed price: read which Garden company is on the pack and the invoice, and keep the checkout’s return terms.
